Chief Administrative Officer

Stony Point Group, Inc SPG, located in Asheville, NC is the family front office for Ken Glass and his family. SPG is responsible for investing in a portfolio of private companies focused on the aerospace and defense industry. SPG targets investments with multi decade time horizons. Ideal investment opportunities are those that will require significant post closing follow-on investments in real estate and machinery and equipment. Current holdings include NWI Aerostructures, NWI Defense, NWI Precision, Camel Expeditionary and Air Ready MRO. TECT Power, a large former holding was sold to the Whitcraft Group in 2020. In addition to its portfolio companies, Stony Point invests in and manages a centralized services organization that provides aviation, employee benefit plans, IT, treasury and risk management services shared by all of our portfolio companies. It also invests in and manages financing companies and real estate and equipment leasing companies that own and lease the real estate and strategic equipment portfolios that are necessary to operate our portfolio companies. SPG does not seek to raise equity capital from investors other than the Glass family.

 

Position Responsibilities

This office will report to the CEO of Stony Point. The office will have oversight over all legal, corporate policy, contract administration and risk management activities of all the GH portfolio companies, our shared services organization and the foundation. The responsibilities of the office include but are not limited to the following:

  • • Coordinate documentation for all M and A and financing activities of all the GH portfolio companies including oversight with all legal counsel engaged by our portfolio companies leading those efforts

  • • Oversee legal due diligence process and participate in business due diligence on all M and A and financing activities with legal counsel and financing entities as necessary

  • • Administration of all routine corporate action of the over 30 separate entities that make up our portfolio companies and the various, management services, real estate and equipment leasing companies and financing companies that support our portfolio companies

  • • Maintenance of all corporate records; contracts, minutes, resolutions, filings, diligence materials etc. to insure detail is readily available to all stakeholders

  • • Design and implementation of insurance strategies and risk management for all of our entities

  • • Working with members of the management team of our portfolio companies to ensure the effective implementation and execution of corporate policies and procedures for all portfolio companies

 

Required Knowledge and Skill Set

The holder of this office must possess the following characteristics, skills and abilities:

  • • Strong working knowledge of corporate and contract law and experience in the negotiation and documentation of asset based and other financings, M and A transactions and commercial sales and purchase agreements

  • • The ability to clearly and effectively communicate verbally and in writing to bankers, board members and managers of our portfolio companies

  • • The ability to question, challenge and direct advisors and managers of our portfolio companies while maintaining their trust and respect

  • • A commitment to honesty, transparency and accountability that is required for effective working relationships with the senior management teams and directors of our portfolio companies, lenders and buyers and sellers of investment opportunities

  • • A willingness to occasionally travel

  • • The capability and willingness to analyze, understand and develop solutions to complex problems regardless of familiarity with the subject matter

 

Required Experience

  • • A minimum of 3 years’ experience with corporate law practice in corporate finance, M and A and commercial matters

  • • Preference for additional experience in a professional environment outside of a law firm

  • • Experience in manufacturing environments preferred but not required

 

Required Education

  • • Undergraduate degree and Juris Doctor
